What are the limitations a secretary cannot do?

A secretary is the chief administration officer of the company. However, there are certain acts a company secretary has no power to do and cannot do unless he has special authority to:

· call a meeting of the company;

· issue a writ in the company’s name;

· alter the register of members (e.g. by inclusion of new names or striking off names);

· appoint a proxy to represent the company at a meeting of creditors;

· register a transfer of shares;

· make any request on behalf of a company for a loan or make any such loan agreement for the company.
